Please read these Terms of Service ("Terms") carefully before using the Wholesale Real Estate Investing website at wholesalerealestateinvesting.com (the "Site"), operated by Wholesale REI("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Acceptance of Terms

By accessing or using the Site, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

We may update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we may also notify registered users by email. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old to use the Site or create an account. By using the Site, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement. If you are under 18, you are not permitted to use the Site. We do not knowingly allow users under 18 to register, and if we become aware that a registered user is under 18, we will terminate that account.

3. Description of Service

Wholesale Real Estate Investing is a free online platform for real estate wholesalers and investors. The Site currently offers the following features:

• Software directory and review platform — discover, compare, and evaluate software tools including skip tracing services, CRMs, dialers, and lead generation platforms (collectively, "Tools" or "Listed Tools").
• Community discussion boards — participate in topic-based boards through posts, comments, voting, and a karma-based reputation system.
• Editorial blog — read AI-assisted articles covering wholesale real estate topics, sourced from publicly available market data and human-reviewed before publication.
• Resource library — access guides, ebooks, and downloadable templates relevant to real estate wholesaling.
• Newsletter subscription service ("The Wholesale Wire") — a weekly publication covering market data, tools, and industry news.
• User accounts with public profiles — create a profile with a username, bio, and public post history, and build a reputation through our karma and tier system.

Informational purposes only. The Site provides general information and community discussion. Nothing on this Site constitutes financial, investment, legal, tax, or other professional advice. The Site does not recommend or endorse any particular Tool, investment strategy, or course of action. You are solely responsible for your own investment and business decisions, and you should consult qualified professionals before making any financial or business decision.

No guarantee of results. We do not guarantee, warrant, or represent that any Listed Tool will produce any particular result, return on investment, or business outcome. Tool descriptions, features, and pricing listed on the Site may be inaccurate or outdated. Always verify current details directly with the tool provider before making a purchase or subscription decision.

4. Accounts

You may browse the Site without creating an account. Certain features — such as submitting reviews or listing tools — require registration. When you register, you agree to:

• Provide accurate, current, and complete information during registration and keep it up to date.
• Maintain the security and confidentiality of your login credentials and not share them with any third party.
• Notify us immediately of any unauthorized use of your account or any other security breach by contacting us at hello@wholesalerealestateinvesting.com.
• Accept full responsibility for all activity that occurs under your account, whether authorized by you or not.

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms, engage in fraudulent or abusive conduct, are used to submit fake or manipulative content, or remain inactive for an extended period. We may also close the Site or any feature at any time.

5. User Content

5a. License Grant

By submitting reviews, tool listings, community posts, community comments, profile information, votes, resource submissions, or any other content ("User Content") to the Site, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and perpetual license to use, reproduce, display, distribute, modify (for formatting and editorial purposes), and publish your User Content as part of operating the Site and its promotional materials. You retain ownership of your User Content. This license ends when you delete your content, subject to content that has already been shared with others, indexed by search engines, or cached by third parties.

5b. Content Standards

You represent and warrant that your User Content:

• Is accurate and reflects your genuine, firsthand experience with the tool being reviewed.
• Does not infringe any third-party intellectual property, privacy, publicity, or other rights.
• Does not contain defamatory, harassing, threatening, obscene, fraudulent, or unlawful material.
• Does not contain spam, unsolicited advertising, phishing attempts, or malicious code.
• Does not impersonate any person, entity, or brand.
• Complies with all applicable local, state, national, and international laws and regulations.

5c. No Fake or Incentivized Reviews

Fake, fraudulent, incentivized, and conflicted reviews are strictly prohibited. You may not submit a review if:

• You are an employee, owner, officer, investor, contractor, or agent of the tool provider being reviewed.
• You were compensated, gifted, discounted, or promised any benefit — monetary or otherwise — in exchange for a review.
• You do not have genuine, direct, firsthand experience using the tool in question.
• The review is intended to artificially inflate a tool's rating, suppress a competitor's rating, or otherwise manipulate rankings.
• The review was generated by or substantially written by an automated system on your behalf without genuine personal experience.

We reserve the right to investigate suspected policy violations and to remove, edit, or decline to publish any review that we determine, in our sole discretion, violates these standards. Accounts found to be submitting fake, incentivized, or manipulative reviews may be permanently banned without notice. We may also take additional action as permitted by applicable law.

5d. Moderation

We reserve the right — but not the obligation — to review, edit, moderate, or remove any User Content at any time and for any reason, including content that violates these Terms, is reported by other users, or that we otherwise find objectionable. We do not pre-screen all User Content and are not responsible for User Content submitted by third parties. Removal of content does not imply a waiver of any other rights or remedies we may have.

6. Community Conduct

The Site includes community features — boards, posts, comments, and profiles — where members can discuss wholesale real estate topics, share deals, and ask questions. Participation in the community is subject to the following rules in addition to the content standards in Section 5b above.

6a. Community Guidelines

• Posts and comments must be helpful, substantive, and relevant to real estate wholesaling. Share real deals, genuine tactics, and useful information.
• No spam, unsolicited promotion, MLM solicitation, or get-rich-quick pitches of any kind.
• Attribute specific claims, data, or statistics to their source. Do not present others' content as your own.
• No harassment, threats, impersonation, doxxing, or targeted abuse of other members.

6b. AI-Assisted Moderation

Posts may be held briefly for automated review before going live. We use automated tools to screen community content for spam, prohibited material, and policy violations prior to publication. We do not guarantee immediate publication of any post or comment. We may moderate, remove, lock, or archive any post or thread at our discretion and without notice.

6c. Karma and Reputation

Karma is a reputation indicator calculated from upvotes received on your posts and comments. It has no cash value and cannot be transferred, exchanged, or redeemed for any benefit. We reserve the right to adjust, reset, or recalculate karma scores at any time, including if we detect manipulation or abuse.

Vote manipulation — including coordinated upvote campaigns, downvote brigading, and using multiple accounts to vote on your own content — is strictly prohibited and may result in karma adjustments and account suspension.

6d. Public Nature of Community Content

Community content — including posts, comments, and public profile information — is visible to all visitors of the Site and may be indexed by search engines. Do not post anything you wish to remain private.

6e. Enforcement

Accounts found to violate these community conduct standards may have their posting privileges restricted, be temporarily suspended, or be permanently banned, in our sole discretion and without advance notice.

7. Newsletter Subscription

The Site offers a free weekly newsletter, "The Wholesale Wire," covering market data, tools, and wholesale real estate industry news. The following terms apply to newsletter subscriptions:

• Double opt-in required. Subscribing to the newsletter requires confirming your email address by clicking a confirmation link sent to the address you provide. You will not receive newsletter issues until you complete this confirmation step.
• Content. Newsletter content is generated with AI assistance from publicly available market data and human-reviewed before distribution. The newsletter is for general informational purposes only and is not investment, financial, legal, or tax advice.
• Unsubscribing. You may unsubscribe at any time by clicking the unsubscribe link included in every newsletter email, or by contacting us at hello@wholesalerealestateinvesting.com. We will process unsubscribe requests promptly.
• Changes and discontinuation. We may suspend, change the frequency of, or discontinue the newsletter at any time without notice.
• No account required. Subscribing to the newsletter does not require creating an account on the Site.

8. Resources and Downloads

The Site's resource library includes guides, ebooks, and downloadable templates. The following terms apply to resources:

• Email-gated resources. Certain resources are available for download after providing your email address. Your email is used to deliver the resource and to send related product updates from us; you may opt out of follow-up communications at any time by following the unsubscribe instructions in any such email.
• Personal use only. Resources are provided for your personal, non-commercial use only. You may not resell, redistribute, sublicense, or otherwise commercially exploit any downloaded resource.
• Not professional advice. Downloadable templates and documents are provided as starting points and general references only. They are not legal, financial, investment, or professional advice and should not be substituted for guidance from a qualified professional. We make no warranty regarding their suitability for any particular purpose or jurisdiction.
• Contributor submissions. If you submit a resource for inclusion in our library, you grant us the same license described in Section 5a. We may accept, reject, or edit submissions at our discretion. We will respond to contributor pitches by email.

9. Affiliate Disclosure

• We are not responsible for the content, privacy practices, terms of service, security, or reliability of any third-party website or tool.
• Your use of any third-party tool is governed solely by that provider's own terms and policies, and any disputes are between you and that provider.
• We are not a party to any transaction you enter into with a third-party tool provider.

We encourage you to review the terms of service and privacy policy of any third-party tool before purchasing, subscribing to, or otherwise using it.

11. Intellectual Property

All original content on the Site — including text, graphics, logos, site design, compilations, and code — is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, scrape, modify, distribute, or create derivative works from Site content without our express prior written permission, except for personal, non-commercial reference use.

Third-party trademarks, product names, and logos referenced on the Site remain the property of their respective owners. Reference to any third-party product or service does not constitute or imply endorsement by that third party, nor does it suggest any affiliation with or sponsorship by the mark owner.

12. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION.

We do not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) any information on the Site is accurate, complete, reliable, or current; (c) any errors or defects will be corrected; or (d) the Site or its servers are free of viruses or other harmful components.

Tool descriptions, features, pricing, and user reviews reflect information available at the time of publication and may not reflect the current state of any tool. 13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Wholesale REI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO: (a) YOUR USE OF OR INABILITY TO USE THE SITE; (b) ANY CONTENT ON THE SITE, INCLUDING USER-SUBMITTED REVIEWS OR THIRD-PARTY TOOL INFORMATION; (c) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD-PARTY TOOL PROVIDER; OR (d) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Wholesale REIand its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (e) any transaction you enter into with a third-party tool provider. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

15. DMCA / Copyright

We respect intellectual property rights and expect users of the Site to do the same. We respond to valid copyright takedown notices under the Digital Millennium Copyright Act (DMCA), and we maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.

16. Governing Law & Venue

These Terms are governed by the laws of the State of Nevada, and any disputes will be resolved in the state or federal courts located in Clark County, Nevada. You consent to personal jurisdiction in those courts.

Before initiating any formal legal proceeding, you agree to first contact us at hello@wholesalerealestateinvesting.com and attempt to resolve the dispute informally for at least 30 days. This informal resolution requirement does not apply to claims for injunctive or other equitable relief.

17. Termination

We may suspend or terminate your access to the Site, or any part of it, at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include violation of these Terms, conduct that we believe is harmful to other users, third parties, or our business interests, or simply a business decision to discontinue the Site or a feature.

You may also close your account at any time by contacting us at hello@wholesalerealestateinvesting.com. Upon any termination, your right to use the Site will immediately cease. Sections that by their nature should survive termination — including Sections 5a (license grant for already-published content), 11 (intellectual property), 12 (disclaimers), 13 (limitation of liability), 14 (indemnification), 16 (governing law), and 19 (miscellaneous) — will survive any termination of these Terms.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we may also notify registered users by email. Your continued use of the Site after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to a change, you must stop using the Site and, if applicable, close your account.

We encourage you to review these Terms periodically to stay informed of any updates.

19. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Site and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms at any time will not be deemed a waiver of that right or provision, nor will it prevent us from enforcing that right or provision in the future.

No assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
